Terms of service
The contractual terms governing your business relationship with ULTIM and use of ULTIM Leads.
Effective October 19, 2026 · Contact ULTIM
“ULTIM”, “we” and “us” mean the operator identified in the company identification. These documents apply together where expressly incorporated.
1. Definitions and interpretation
Customer means the business or person entering this agreement, including the organization an authorized user represents. Authorized Users are people the Customer permits to access its workspace within the purchased scope. Customer Data includes information submitted to, collected through, generated for or held in that workspace, including third-party lead records and communications. Services means the ULTIM Leads features provided under an accepted order and these terms. An Order is a separately accepted description of commercial scope, term, rates and any express commitments. Provider Services means independently operated infrastructure, AI, communications or integration services used with the Services. References to these terms include documents expressly incorporated into them; they do not make every provider’s promotional statement a ULTIM warranty. ULTIM has the single corporate meaning identified in the Legal & privacy center.
2. Agreement and authority
These terms, Billing terms, Acceptable use and Communications & AI govern ULTIM Leads. The Data processing agreement applies when we process customer personal data on your behalf. You must be at least 18 and authorized to bind the customer business. An authorized signed order may specify paid scope and expressly override a conflicting commercial provision; a signed BAA or mandatory data-protection term prevails for its subject matter. No provision waives a right or duty that applicable law makes nonwaivable.
3. Service and accounts
We provide the features and scope made available to your workspace, subject to these terms and any agreed order. Protect credentials, manage authorized users and integrations, and promptly report suspected compromise. You are responsible for your users, instructions, configuration and lawful data collection. Do not share privileged credentials with support. A feature’s availability is not confirmation that your use is approved by a carrier, regulator or professional body.
4. Your content and limited permission
You retain your rights in customer content. You grant ULTIM and relevant service providers limited permission to host, transmit, reproduce, transform and otherwise process that content only as reasonably necessary to provide, maintain, secure and support the service, follow lawful instructions and meet legal obligations. This does not transfer ownership or permit sale of lead data. You represent that you have required rights, notices and permissions for your content, instructions and communications. ULTIM retains its rights in the platform, software, branding and documentation.
5. AI, professional judgment and results
AI may misunderstand a person, omit or invent facts, misclassify a lead, extract inaccurate information or generate unsuitable content. Configure lawful instructions, supervise use and review material outputs before relying on them for legal, medical, financial, housing, employment or other consequential decisions. The service is not a professional adviser or emergency service and does not establish an attorney-client or clinical relationship. No number of responses, conversions, qualified clients, revenue or legal outcome is guaranteed. Automated assessments do not replace professional decisions.
6. Communications and outside services
You are responsible for lawful outreach, consent evidence, recording notices, contact hours, templates, accurate sender identification and honoring opt-outs. Provider restrictions and platform controls are not a complete compliance service or a promise to detect all unlawful conduct. Third-party services have independent terms, charges, approvals and availability. Delays, rejection, blocked templates, voicemail, carrier filtering and outages may occur. Accepted or queued actions do not prove delivery. ULTIM remains responsible for its own obligations and does not disclaim duties that cannot lawfully be excluded.
7. Security, suspension and investigations
We may restrict content, integrations or access where reasonably necessary for security, suspected unlawful use, material breach, unpaid undisputed charges or a binding provider or legal requirement. Where practicable and lawful, we provide notice and an opportunity to resolve the issue; urgent situations may require immediate action. We may preserve evidence and cooperate with valid legal process. We do not undertake general monitoring of every communication or promise detection of every abuse. Customers must cooperate with reasonable investigations concerning their use.
8. Term, cancellation and data
Service continues for the agreed term and renewal arrangement. Request cancellation through the contact below; Billing terms explains its effective date and surviving charges. Outstanding balances do not prevent requesting cancellation or stopping future renewals. Termination does not recall delivered communications or itself erase records. Request export or deletion through Data requests & deletion; lawful retention and provider limitations may apply. Payment, confidentiality, accrued rights and provisions intended to survive remain effective.
9. Warranties and limitation of liability
To the fullest extent permitted by law, except for express commitments in a signed agreement, the service is provided as available and without implied warranties of merchantability, fitness for a particular purpose or noninfringement. Neither party is liable to the other for indirect, incidental, special, consequential or punitive loss, or lost profits or opportunities arising from this agreement. ULTIM’s aggregate liability arising from the service is limited to the fees paid or payable to ULTIM for the affected service during the 12 months preceding the event; for a free service the cap is US $100. These exclusions and caps do not apply to fraud, willful misconduct or liabilities that law prohibits limiting, and do not override a controlling signed BAA or mandatory statutory remedy.
10. Customer indemnity
To the extent permitted by law, the customer will defend ULTIM against third-party claims arising from its unlawful content or instructions, infringement of third-party rights, or material breach of communications-permission obligations, and pay resulting final judgments or reasonable approved settlements. This does not cover a claim to the extent caused by ULTIM’s own breach, negligence or misconduct. ULTIM will give reasonably prompt notice, cooperate at the customer’s expense and allow control of the defense, subject to reasonable protection of its interests. No settlement may admit ULTIM’s fault or impose a nonmonetary duty without its written consent.
11. Disputes and governing law
Please first contact us so we can try to resolve the issue. Georgia law governs, excluding conflict-of-law rules, subject to mandatory applicable law. Unless a signed agreement or mandatory law requires otherwise, disputes are subject to competent state courts in Gwinnett County, Georgia, or the federal court having jurisdiction there. These terms do not impose mandatory arbitration or waive mandatory consumer remedies.
12. Changes and general provisions
Material revisions will be identified and notified through the service or account contact as appropriate. Changes are prospective; materially changed commercial commitments apply only with the notice or agreement required by law or the order. If a provision is unenforceable, the remainder continues to the extent permitted. Failure to enforce a provision is not a waiver. This agreement does not create employment, agency or partnership. Notices and support requests may use the contact below.
13. Limited license and access restrictions
During the applicable service term, ULTIM grants the Customer a limited, nonexclusive, nontransferable right to use the Services for its lawful business purposes within the agreed scope. No software ownership is transferred. Except as expressly permitted by an Order or mandatory law, the Customer may not resell access, remove ownership notices, distribute credentials, bypass usage restrictions or make the Services available for another business under the Customer’s identity. Customer-appointed contractors may act as Authorized Users only with appropriate authority, confidentiality and access controls; their conduct remains the Customer’s responsibility. An integration or API connection does not grant rights to another customer’s workspace, ULTIM’s infrastructure or a provider account.
14. Configuration, instructions and account administration
The Customer designates people entitled to approve settings, manage users, connect services and request support. The Customer must maintain accurate account contacts and promptly remove access no longer required. Instructions submitted through an authenticated account or verified support channel may be relied on within that user’s authority, subject to applicable verification and security controls. The Customer must check recipient details, plan timing, timezone, sender identity, templates, permissions and material AI-generated settings before activating a process. ULTIM does not undertake to verify the truth of every imported record or independently approve the Customer’s professional or business strategy. Report conflicting or erroneous instructions promptly and pause affected activity where appropriate.
15. Confidential information
Confidential Information means nonpublic business, technical, security or customer information disclosed in connection with the Services that is marked confidential or reasonably should be understood as confidential. Each party will use the other’s Confidential Information only for the agreement and lawful purposes, protect it with reasonable care, and disclose it only to personnel, advisers and providers with a legitimate need and appropriate confidentiality obligations. This does not restrict information independently developed, lawfully obtained without restriction or publicly available without breach. Legally compelled disclosure is permitted to the required extent, with notice where lawful and reasonably practicable. These duties continue for five years after termination; trade secrets remain protected while legally qualifying as such, and personal data remains subject to applicable data-protection duties for as long as retained.
16. Outputs, intellectual property and feedback
As between the parties and to the extent rights can legally exist and be assigned, the Customer may use outputs generated for its workspace, subject to third-party rights and the applicable provider terms. AI output may be nonunique, not eligible for copyright or similar to output produced for another person; ownership language is not a warranty of originality, accuracy or noninfringement. The Customer must review an output before publishing, sending or relying on it. ULTIM retains its pre-existing technology, interfaces, templates, general know-how and service improvements, without acquiring ownership of the Customer’s underlying records. Voluntary product suggestions may be used to improve the Services without payment, but this does not authorize disclosure or reuse of embedded confidential Customer Data.
17. Product changes and preview features
ULTIM may maintain, repair and update the Services and change features as required for security, law, provider availability or product development. A purchased commitment is governed by the Order; these terms do not authorize retroactively removing an expressly paid entitlement without the notice or remedy required by that agreement or law. Features identified as preview, test, beta or demonstration may have additional limitations and are not a promise of future functionality. The Customer must use authorized test recipients and understand whether a test will incur provider fees or contact a real person. A roadmap, mockup, estimate or sales discussion is not a binding delivery date unless expressly included in an accepted written commitment.
18. Automated actions, intervention and service continuity
An activated plan may perform authorized actions while no user is viewing the workspace. The Customer remains responsible for reviewing its configuration and using available pause, takeover and stop controls when circumstances change. Opening a conversation does not itself appoint a human operator or pause automation. A pause or cancellation may prevent unsent future work but cannot retract delivered messages or guarantee interception of an action already accepted by an external provider. The Customer should maintain an appropriate independent process for urgent deadlines, required professional decisions and business continuity. Except where expressly agreed, ULTIM does not provide a guaranteed recovery point, recovery time, uninterrupted service level or disaster-recovery outcome.
19. Professional confidentiality and sensitive material
The Customer must assess its confidentiality, professional secrecy, privilege, records-management and regulatory duties before using cloud processing, AI or an integration. ULTIM’s confidentiality obligations do not create attorney-client privilege, medical confidentiality relationships or a guarantee against waiver resulting from the Customer’s disclosures. The Customer must use the minimum sensitive information needed and may not assume an ordinary account is approved for protected health information, regulated payment data or another specially restricted use. Additional contractual and technical requirements may apply. A general disclaimer does not remove ULTIM’s own applicable security or data-protection obligations.
20. Force majeure and mitigation
Neither party is responsible for a delay or failure caused by events beyond its reasonable control, such as a natural disaster, widespread network disruption, government restriction or external service interruption, to the extent it could not reasonably prevent or mitigate that effect. The affected party will take reasonable steps to reduce the impact and resume performance. This provision does not excuse accrued payment obligations, authorize disregard of an applicable incident-notification duty, or excuse a party’s own failure to maintain safeguards it expressly agreed to provide. A provider outage is not automatically proof that every related failure was outside ULTIM’s control.
21. Notices, assignment and entire agreement
Routine service and contractual notices may be sent to the Customer’s designated account email or displayed in the service, subject to legally required methods and timing. Keep that address current; notices requiring a particular statutory method remain subject to that rule. Formal correspondence to ULTIM may use support@ultimmarketing.com or the postal identification in the Legal & privacy center. Neither party may assign this agreement in a way that unlawfully reduces the other’s rights; assignment in connection with a merger, reorganization or sale of the relevant business may occur subject to continuing contractual and data-protection obligations. The accepted Order and incorporated documents comprise the agreement on their subject matter, superseding inconsistent informal statements unless expressly preserved. Electronic acceptance may evidence agreement; an electronic signature does not create a payment authorization beyond its disclosed scope.
22. Contract priority, survival and enforceability
For a subject it specifically governs, a mandatory law prevails, followed by an executed BAA or mandatory data-protection addendum, an express overriding provision in a signed Order, and then these general terms and incorporated policies. The Data processing agreement controls customer personal-data processing where it conflicts with general service wording. Billing terms controls ordinary invoicing and cancellation mechanics, without overriding a mandatory right. Accrued charges, confidentiality, ownership, lawful retention, dispute provisions and permitted liability allocations survive to the extent needed to give them effect. No heading, shortened company name or severed provision creates a separate entity or eliminates a nonwaivable obligation.
